Terms of Service

These Terms of Service govern your use of VPSongs. By creating an account, purchasing a plan, or submitting content to VPSongs, you agree to these Terms.

Services

• Digital music distribution to supported streaming and download platforms.
• YouTube Content ID and related rights-management services, where eligible.
• Caller tune distribution, analytics, royalty reporting, and other music-related services where offered.
• Available features may differ by plan, territory, platform, or eligibility.

Your Content and Rights

You remain the owner of your content. You must have all rights, permissions, licences and clearances needed to distribute and monetize every recording, composition, artwork, video, lyric, name, logo and other material you submit.

You must not submit content that infringes copyright, trademark, privacy, publicity or any other third-party right.

Permission Granted to VPSongs

By submitting content, you give VPSongs a non-exclusive permission to deliver, distribute, monetize, administer and manage that content only as needed to provide the services you selected.

This permission does not transfer ownership of your content to VPSongs.

Release Review

VPSongs may review, reject, hold, correct or request changes to a release before delivery. A release may be refused where information is incomplete, misleading, duplicated, unauthorized, technically unsuitable, suspicious, or inconsistent with platform rules.

Delivery to Digital Platforms

VPSongs will use reasonable efforts to deliver approved releases to selected platforms. Final acceptance, live dates, availability, territorial access and removal timing are controlled by the individual platforms.

VPSongs does not guarantee an exact live date, continued platform availability, playlist placement, search ranking or promotional exposure.

Royalties and Revenue Share

Your revenue share will be the share stated in your selected plan or separate written agreement.

Royalties are based on amounts actually reported and received by VPSongs from platforms or service partners, subject to applicable taxes, refunds, chargebacks, platform adjustments, fraud deductions and other authorised deductions.

Reporting and Payouts

Reports and payouts depend on data and funds received from third-party platforms. Reporting periods, payout thresholds, payment methods and payout timing may vary by plan.

Delays caused by DSPs, stores, banks, payment processors or other third parties may also delay VPSongs reports or payouts.

Catalog Migration

VPSongs may assist with moving an existing catalog from another distributor. You should provide the original ISRC, UPC and matching metadata wherever available.

Do not request removal from your previous distributor until the replacement delivery through VPSongs is confirmed, unless VPSongs advises otherwise.

Platform-controlled data such as stream counts, playlists, links, search history, reviews or algorithmic history cannot be guaranteed during migration.

Takedown Requests

You may request removal of your content through VPSongs. Takedowns are not instant and processing time varies by platform.

VPSongs may also remove, block or suspend content where required by law, a platform, a rights complaint, fraud concerns, account issues or a breach of these Terms.

YouTube Content ID

Content submitted to YouTube Content ID must be eligible and sufficiently controlled by you. Content containing non-exclusive material, unauthorized samples, leased beats without appropriate rights, public- domain-only material, generic production libraries or other ineligible material may be refused.

VPSongs may release, disable or remove claims where necessary to resolve rights conflicts, comply with YouTube policies or respond to valid legal or ownership requests.

Artificial Streaming and Fraud

You must not use bots, click farms, fake playlists, automated traffic, misleading promotions or any other method intended to manipulate streams, views, followers, claims, royalties or engagement.

Where suspicious activity is identified, VPSongs may hold affected royalties, suspend distribution, remove content, restrict services or close the account.

Accurate Information

You are responsible for the accuracy of artist names, label names, credits, metadata, banking details, tax information and account information you provide.

Some information may not be editable after delivery, or a new delivery may be required by a platform.

Copyright and Rights Complaints

VPSongs may ask for evidence of ownership or authorization at any time. Where a credible rights dispute is received, VPSongs may temporarily hold a release, claim or related revenue while the matter is reviewed.

Account Suspension or Closure

VPSongs may suspend or close an account for serious or repeated violations, including copyright infringement, fraud, artificial streaming, false information, misuse of services, unpaid fees or abusive conduct.

Closing an account does not make platform takedowns immediate, and obligations or disputes arising before closure may continue until resolved.

Third-Party Platforms

Streaming services, social platforms, payment processors and other partners are independent third parties.

Their policies, algorithms, reporting methods, availability and decisions may change without VPSongs' control.

Limitation of Responsibility

VPSongs will use reasonable care in providing its services, but cannot be responsible for indirect or consequential losses caused by third-party platform decisions, outages, reporting delays, user-supplied errors, rights disputes or events outside VPSongs' reasonable control.

Your Responsibility for Claims

If content or information supplied by you causes a third-party claim, loss, penalty or legal expense because you lacked the required rights or breached these Terms, you are responsible for the resulting claim or cost to the extent permitted by law.

Changes to Plans, Services or Terms

VPSongs may update services, plan features, pricing or these Terms when necessary. Material changes will be published or otherwise communicated through the website, dashboard or registered contact details.

Governing Law

These Terms are governed by the laws of India. The applicable courts and jurisdiction will be based on VPSongs' registered business location unless another written agreement states otherwise.
